Terms of Service

These Terms are governed under applicable United States federal law and Washington State law.
1. Acceptance of Terms
By accessing or using the ExecEats mobile application, website, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and ExecEats Inc. (“ExecEats”, “we”, “us”, “our”).
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes your acceptance of those changes.
These Terms should be read alongside our Privacy Policy, available at www.execeatsapp.com/privacy, which describes how we collect and use your information.
2. Description of Service
ExecEats is a corporate catering marketplace that connects Executive Assistants and corporate professionals with local catering vendors. Our platform facilitates vendor discovery, multi-day event planning, AI-assisted meal planning, order management, payment processing, and real-time delivery tracking for corporate meals and events.
ExecEats operates as a marketplace platform. We are not a food service provider, caterer, or delivery service. We connect users with independent vendors who are solely responsible for the preparation, quality, safety, and delivery of food orders. ExecEats facilitates payments between users and vendors and retains a platform service fee for providing this marketplace service.
3. Eligibility and User Accounts
The Service is intended for business professionals who are 18 years of age or older. By creating an account, you represent that you meet this age requirement.
Certain features of the Service, including the ability to place orders, may require account verification and may be subject to eligibility requirements. Access to specific features may be granted progressively based on your verification status. We reserve the right to determine eligibility criteria and to modify them at any time.
When creating and maintaining your account, you agree to:
- Provide accurate, current, and complete information during registration and keep your account information up to date
- Maintain the security of your account credentials and immediately notify us of any unauthorized access or use
- Maintain only one account per person — duplicate accounts may be terminated
- Ensure you are authorized by your organization to place orders and make purchases on its behalf when using the Service for corporate ordering
You are responsible for all activity that occurs under your account.
4. Orders and Payments
When you place an order through ExecEats, you agree to the following:
- All orders are subject to vendor availability and acceptance — placing an order does not guarantee fulfillment until confirmed by the vendor
- Prices displayed on the platform are set by individual vendors and may change without prior notice
- Payment is processed securely through our third-party payment processor (Stripe) in accordance with their terms of service. We accept credit cards and Apple Pay. We do not store your full payment card details on our servers.
- Qualifying companies may use purchase order (PO) invoicing as an alternative payment method. PO orders are invoiced after delivery, and payment is expected within the terms specified on the invoice. Vendor payouts for PO orders are processed only after the company pays the invoice.
- Applicable taxes are calculated based on the delivery address and are added to the order total at checkout
- You agree to pay all charges incurred through your account, including order totals, taxes, delivery fees, and any applicable service fees
5. Cancellations and Refunds
Cancellation and refund eligibility depends on the timing of the cancellation relative to the scheduled delivery:
- Cancellations made more than 24 hours before the scheduled delivery time are generally eligible for a full refund.
- Cancellations made within 24 hours of the scheduled delivery time are subject to vendor approval and may result in a partial refund or no refund, depending on whether the vendor has begun preparation.
- Once a vendor has confirmed that preparation has started, cancellations are generally not eligible for a refund.
- If a vendor cancels or is unable to fulfill an order, you will receive a full refund.
For purchase order (PO) orders, cancellation is available before the invoice has been sent. Once an invoice has been issued, standard invoice payment terms apply.
Refunds, when applicable, are processed through the original payment method and may take 5–10 business days to appear on your statement. To request a cancellation or report an issue with an order, you can use the in-app support system or contact us at support@execeatsapp.com.
6. User Responsibilities
As a user of the Service, you are responsible for:
- Providing accurate and complete delivery information, including address, floor, suite number, and any special access instructions
- Providing accurate dietary preferences and allergen requirements for your orders — ExecEats and vendors rely on the information you provide
- Ensuring that an authorized person is available at the delivery location to receive the order at the scheduled time
- Reporting any issues with orders promptly through the app or by contacting our support team
- Using the platform in a lawful manner and in accordance with these Terms
7. Prohibited Uses
You agree not to use the Service to:
- Submit fraudulent orders or provide false information
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Resell, redistribute, or commercially exploit orders placed through the platform
- Use automated tools, bots, scrapers, or other automated means to access or interact with the Service
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
- Harass, abuse, or threaten vendors, delivery personnel, or other users
- Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or computer systems or networks connected to the Service
ExecEats reserves the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating the offender's account and reporting to law enforcement authorities.
8. Communications and Notifications
By creating an account and placing orders through ExecEats, you consent to receiving transactional communications related to your orders, including order confirmations, status updates, and delivery notifications. These communications may be delivered via push notifications, email, and messaging services.
You may manage your notification preferences through the app settings. Transactional communications directly related to active orders cannot be fully opted out of while an order is in progress, as they are necessary for order fulfillment.
We may also send you important service announcements, security alerts, and administrative messages. These are not promotional and cannot be opted out of while your account is active.
9. Vendor Relationships
ExecEats connects you with independent catering vendors who operate their own businesses. You acknowledge and agree that:
- Vendors are independent third parties, not employees, agents, or contractors of ExecEats
- Food quality, preparation, safety, and compliance with health regulations are the sole responsibility of each vendor
- While we vet vendors before they join the platform and monitor performance, we do not guarantee the quality, safety, or timeliness of any vendor's services
- Any disputes regarding food quality, preparation, or safety should be reported to ExecEats, and we will work to facilitate a resolution between you and the vendor
10. Allergen and Dietary Disclaimer
ExecEats provides dietary labeling and allergen information as reported by vendors. While we make reasonable efforts to display accurate dietary and allergen information on the platform, you acknowledge and agree that:
- ExecEats does not independently verify the accuracy of dietary or allergen information provided by vendors
- Dietary labels and allergen tags on the platform are provided for informational purposes and should not be relied upon as the sole source of information for individuals with severe allergies or dietary restrictions
- It is your responsibility to verify allergen and dietary information directly with the vendor if you or your attendees have severe allergies or medical dietary requirements
- ExecEats shall not be held liable for any adverse reactions, allergic responses, or health issues resulting from food consumed through orders placed on the platform
If you or anyone consuming food ordered through our platform has a severe allergy, we strongly recommend contacting the vendor directly to confirm ingredients and preparation methods before placing an order.
11. AI-Generated Content
ExecEats offers an AI Meal Planner feature that provides AI-generated menu suggestions, event planning assistance, and vendor recommendations. You acknowledge and agree that:
- AI-generated suggestions are provided for convenience and informational purposes only and should not be the sole basis for ordering decisions, particularly regarding dietary restrictions or allergens
- AI recommendations may not always be accurate, complete, or up-to-date — always verify critical details such as allergen information directly with the vendor
- ExecEats does not guarantee the accuracy of any AI-generated content and shall not be liable for decisions made based on AI-generated suggestions
- Your conversations with the AI Meal Planner are processed by a third-party AI service provider and are not used to train AI models
12. Intellectual Property
The ExecEats name, logo, branding, website, mobile application, and all associated content, features, and functionality are the exclusive intellectual property of ExecEats Inc. and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any of our intellectual property without prior written permission from ExecEats Inc..
13. Account Suspension and Termination
We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for any of the following reasons:
- Violation of these Terms or any applicable law
- Fraudulent, abusive, or otherwise harmful activity
- Repeated chargebacks or payment disputes without valid cause
- Providing false or misleading information
- Any conduct that we determine, in our sole discretion, is harmful to other users, vendors, ExecEats, or third parties
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, indemnification, and dispute resolution provisions.
You may also delete your account at any time through your profile settings in the app. Account deletion includes a 30-day grace period, during which you can sign back in to cancel the deletion. You can also contact us at support@execeatsapp.com for assistance.
14. Limitation of Liability
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by applicable law, ExecEats shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to issues related to food quality, preparation, allergen contamination, delivery delays, or vendor performance, which are the responsibility of the vendor.
In no event shall our total liability to you for all claims arising from or related to the Service exceed the amount you paid to ExecEats for the specific order giving rise to the claim, or one hundred dollars ($100), whichever is greater.
15. Indemnification
You agree to indemnify, defend, and hold harmless ExecEats Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of or inability to use the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any inaccurate information you provide, including delivery details, dietary requirements, or allergen information
- Any dispute between you and a vendor
16. Dispute Resolution
Before initiating any formal legal action, you agree to first contact us at legal@execeatsapp.com to attempt to resolve any dispute informally. We will make a good faith effort to resolve the matter within 30 days of receiving your written notice.
If the dispute is not resolved informally within 30 days, either party may pursue formal legal proceedings as described in the Governing Law section below.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in King County, Washington.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published by ExecEats on the Service, constitute the entire agreement between you and ExecEats concerning the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
20. Modifications
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will provide notice through the Service, via email, or by other appropriate means at least 14 days before the changes take effect, except where changes are required by law or relate to new features or security issues.
Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you should discontinue your use of the Service.
